ADVISORY CONCENTRATIONS

CND-SA works with owners and management teams on both the sell side and the buy side to evaluate capital, liquidity, acquisition and strategic transaction alternatives in the context of the business itself, not simply the transaction immediately in front of them. We approach each decision from the perspective of an owner, operator and principal, combining operating analysis with capital markets experience and a network of financial and industry relationships built over decades.
The objective is not simply to complete a transaction. It is to determine which transaction, with which capital or strategic partner, on what terms, best advances the long-term objectives of the company and its owners.
1. Capital Strategy & Structure
Capital is not interchangeable. The right structure depends on the company's industry, recurring revenue, operating performance, growth requirements, existing leverage and ownership objectives. CND-SA helps evaluate debt, equity and hybrid capital, including the effect of each on cost of capital, dilution, control and future flexibility. A financing that solves today's need but restricts tomorrow's acquisition, raise or exit can be expensive regardless of its stated rate. The analysis starts with the objective and works backward to the structure, not the other way around.
2. Recapitalization & Owner Liquidity
A complete sale is not the only way for an owner to access institutional capital or create liquidity. A recapitalization can fund growth, acquisitions, balance sheet restructuring or shareholder liquidity while the owner keeps meaningful participation in future value. CND-SA weighs both the capital being provided today and the equity opportunity that remains tomorrow, and where institutional or sponsored capital fits, works alongside lenders, investment bankers and sponsors to keep everyone aligned.
3. Equity Sales & Strategic Partnerships
A transaction should be evaluated on more than headline valuation. CND-SA works with owners considering full or partial equity sales, staged liquidity, strategic partnerships and financial partners to weigh both the economics and the counterparty. Price matters. So do culture, governance, management expectations, investment horizon, operating philosophy and the buyer's plans for the business after closing. This is especially true in founder-led and service-intensive businesses, where much of the value sits in customer relationships, key employees, institutional knowledge and reputation. The objective is to maximize value while choosing a structure and counterparty capable of preserving, and ideally expanding, what created that value in the first place.
4. Acquisitions & Integration
On the buy side, CND-SA helps owners and management teams evaluate targets, test the assumptions behind the price, and plan integration before closing rather than after. Many acquisitions are won or lost on what happens next: keeping key people and customers, combining operations and systems, and capturing the value the deal was built on. CND-SA works both ends of that process, from pre-close integration planning through post-close execution, drawing on direct experience leading acquisitions as an owner-operator and staying through integration after a sale.
5. Industry & Enterprise Value
CND-SA begins with the operating drivers of the particular business. Rather than applying a generic transaction template, we draw on operators, specialists and relationships with relevant sector experience to understand what actually creates and destroys value in the industry. That includes off-balance-sheet factors such as customer concentration, recurring revenue quality, workforce dependencies, management depth and competitive position. Improving the business before going to market is usually worth far more than explaining its weaknesses after diligence has begun.
6. Transaction Readiness & Positioning
The transaction process often exposes issues that existed long before it began. CND-SA helps identify them earlier, across organizational structure, management dependencies, customer relationships, contracts, reporting quality and operational risk. The objective is to enter a process understanding both the strengths that should command value and the weaknesses a sophisticated counterparty is likely to find.
7. Coordinating the Right Resources
Complex transactions rarely require a single advisor. They may involve investment bankers, lenders, private capital providers, attorneys, accountants, tax specialists and diligence providers. CND-SA helps owners decide which resources are needed, brings in the right specialists from an established network, and keeps everyone aligned. Where regulated securities, legal, tax or other specialized professional services are required, those functions are performed by appropriately licensed or qualified professionals.
From Capital to Outcome
Whether the right path is a financing, recapitalization, acquisition, strategic partnership, partial liquidity event or complete exit, CND-SA starts in the same place:
Understand the business. Identify what creates value. Define the owner's objective. Evaluate the alternatives. Then structure the path toward the desired outcome.
The transaction is not the strategy. It is one instrument for executing it.
-
(Quality of People) We start with people who know the sector — operators and specialists drawn from a network built over decades — then map what actually drives value in that industry. Strategy, operations, and capital structure get aligned to those drivers.
The aim is straightforward: stronger competitive standing and higher enterprise value on a real raise, recap, partnership, or exit — across founder-led and growth-stage companies, including healthcare, professional services, and commercial operations.
-
When the normal org chart isn't enough: transition stress, governance pressure, operational breakdown, or a high-stakes window that needs an operator who can move fast. We stabilize, set priorities, and bring in the right specialists through a tight network: investigators, specialized counsel, forensic accountants, interim operators and reputational advisors.
The work is practical and discreet: protect enterprise value, restore decision-making, and leave the company in a stronger position than we found it. Substance over optics.

CND-SA transforms large, fragmented bodies of information into structured, decision-ready intelligence. The objective is not simply to find information, but to determine what matters, how strongly the underlying data supports it, what contradicts it, and how it connects to everything else.
1. The Problem
Large datasets create a problem that extends well beyond storage, keyword search and document retrieval. As information builds up across years, sources and participants, the relationships within the data become harder to see. A search can return hundreds of responsive documents and still leave the real questions open: which information actually matters, where independent sources converge, and where they conflict. CND-SA's methodology was built to solve that problem: getting your arms around the entire dataset without losing sight of the individual data points that ultimately determine its meaning.
2. The Genesis
Strategic Evidence Intelligence originated from necessity. On an exceptionally complex body of information, sophisticated commercial platforms, including DISCO, handled ingestion, search and review well, but the analysis itself still required substantial manual work. That gap became the genesis of CND-SA's approach: rather than conform the problem to the limitations of existing software, develop purpose-built methodology and code around the required analytical result. The approach combines structured information architecture, custom code, AI-assisted analysis and human strategic judgment.
3. Bottom-Up Evidence Architecture
The methodology begins with the underlying source material and builds upward. Documents, communications, records and individual data points are assessed, classified and organized into progressively more meaningful levels of information. Key factors are elevated according to their significance, evidentiary strength, relationships and corroboration, and critical information is triangulated across independent sources, time periods and participants. The result is compression without loss of context: an overwhelming volume of information is reduced to the factors that matter, and every conclusion can be traced back to its source.
4. Making Complexity Visible
Analysis has limited value if its output simply creates another information problem. CND-SA uses an accessible, workbook-based visual architecture that lets a complex dataset be diagnosed at different levels of detail, from the factors carrying the greatest significance down to the individual data points and source material beneath them. The purpose is to make an otherwise overwhelming body of information accessible, diagnosable and actionable.
5. From Complexity to Decision
Strategic Evidence Intelligence applies wherever an important decision depends on large datasets, multiple information sources and separate or overlapping critical factors. The underlying information may be financial, operational, transactional, investigative or regulatory. Where the problem permits, the ultimate objective is to reverse-engineer complexity toward a determinative decision point: the smallest number of critical factors capable of resolving, materially changing or properly framing the larger issue.
Ingest → Structure → Correlate → Triangulate → Rank → Determine
The transition is from information management to decision intelligence.
